This contract is signed between ………………. (Product develope(r)) and …………… (manufacturer(s)) for the purpose of manufacturing the goods specified hereunder and complete delivery of the same adhering to the (time/day/place) as specified in this agreement. For which an amount specified and agreed shall be paid.
- 1. Definition
1.1 ‘Delivery of goods or products’ means the complete delivery of the same goods and (or) products as specified in this Agreement
1.2 Payment means the full payment for the goods manufactured and delivered.
1.3 Delivery – means the date specified hereunder before 11:59 pm of the same day.
1.4 Sample- refers to the exact product that the manufacturer agrees to manufacture according to this agreement.

3. Delivery of the Sample product
2.1 A sample of the product made by the manufacturer within the exact time specified above shall be delivered.
2.2 The manufacturer shall only proceed to manufacture the further goods unless the sample is agreed by the product developers.
3. Payment
3.1 Payment amount of Rs………… shall be made to the manufacturer before the due date specified here.
3.2 Payment shall only be made through cheque/demand draft.
- 4. Liability
4.1 The manufacturer shall deliver the manufactured product in the address of the product developers mentioned at the end of this agreement.
4.2 The shipping expense shall be barred by the manufacturer itself and shall be reimbursed by the manufacturer on producing of the relevant documents/invoice.
4.3 However, if any loss/damage of product occurs due to packaging or of whatsoever reason before reaching the product developers address, manufacturer is not entitled to claim the same.
- 5. Claims of the manufacturer
5.1 The manufacturer ………………………. at any point of time, shall not claim any profit or any part of share whatsoever which the product developers gain through the said product.
5.2 The manufacturer can claim only the manufacturing amount that is agreed upon as specified n this agreement.

Jurisdiction
In case of any/all disputes arising out of this very signed agreement the parties thereto agree to settle through Arbitration (as per Arbitration and Conciliation Act, 1996). In case the aggrieved party feels for filing a suit, for that purpose the jurisdiction shall be only…. ………………..
